This is a courtesy translation. The Spanish version is the legally binding one: read it in Spanish.

These Terms govern the use of ReaktorAgents. By creating an account or subscribing, you accept the following.

1Acceptance

By registering, purchasing a plan or using the platform, you accept these Terms and the Privacy Notice. If you do not agree, do not use the service. The service is provided by poweredbyor.com under the ReaktorAgents brand (Reaktor Studios).

2Description of the service

ReaktorAgents lets you create, configure and publish an artificial intelligence agent with tools (quotes, payment links, handoff to WhatsApp, email, appointment scheduling, mini-site, among others) to serve your customers. The features available depend on the plan purchased; answering and alerts via WhatsApp will be enabled from the Starter (Inicial) plan once the connection with Meta is active (currently being rolled out), subject to Meta's approval and policies; until it is enabled, it is not part of the contracted service. Connecting your business's WhatsApp number requires that you accept Meta's WhatsApp Business terms.

3Subscription, billing and cancellation

• Plans are billed on a recurring monthly basis through Stripe or Mercado Pago, until you cancel.
• The price of your plan is the one in effect when you purchase it. If list prices change, they apply to new purchases; any change to the price of your subscription will be notified to you in advance.
• You can cancel at any time from your portal (Cobros section) or by asking us for help. When you cancel we stop charging you; you keep access until the end of the period already paid, and after that the service is paused.
• Charges already made are non-refundable, unless applicable law provides otherwise.
• If a recurring charge fails, we may pause the agent after a grace period until the payment is brought up to date.

4Permitted use and responsibility for content

You agree to use the service lawfully. It may not be used for spam, fraud, illegal content, impersonation, or to violate the rights of third parties. You are responsible for the information you upload, for what your agent communicates to your customers, and for complying with the regulations that apply to your activity (including the protection of your customers' data).

5Artificial intelligence — nature of the service

The agent uses AI models that may make mistakes or generate inaccurate responses. We do not guarantee accuracy, sales results or fitness for a particular purpose. You must review and supervise the agent's actions (prices, appointments, orders, messages) before treating them as final with your customers.

6Intellectual property

The platform, its software, brand and design are the property of the Controller. The content you upload (catalog, texts, logo) remains yours; you grant us a limited license solely to operate it within the service.

7Availability and limitation of liability

The service is offered "as is" and "as available." We strive for high availability but do not guarantee that it will be uninterrupted or error-free. To the extent permitted by law, our liability is limited to the amount you have paid for the service in the last three months.

8Modifications and termination

We may update these Terms or the service; we will publish the current version here. We may suspend or terminate accounts that breach these Terms. You may terminate whenever you wish by canceling your subscription.

9Governing law

These Terms are governed by the laws of the United Mexican States. For any dispute, the parties submit to the competent courts of Guadalajara, Jalisco, waiving any other jurisdiction.
